TRC APPROVES RACE DATES
At their August 14 meeting, Texas Racing Commissioners approved the following live Thoroughbred race dates for 2019:

Lone Star Park TB Meet:  44 days, April 18 – July 21 with a projected purse per day of $160,000.

Retama Park Mixed Meet: 28 days (14TB – 14 QH), July 4 – September 11, with a projected purse per day of $100,000 for Thoroughbreds racing on Tuesdays and Wednesdays beginning July 30th.

Dates for Sam Houston Race Park had already been approved; that 32-day schedule was revised to encompass January 25 – March 30, with a projected purse per day of $136,000.

Commissioners also approved 32 dates in 2020 for Houston, encompassing January 24 – March 28, with a projected purse per day of $136.000.

Gillespie County Fair was approved for their usual 8-day mixed meet for 2019 and 2020.

Commissioners also approved the transfer of pecuniary interest in Pinnacle Retama Partners, LLC to Penn National Gaming, Inc.

The change in majority ownership in Retama Park is to be accomplished by the following measures:

  1. Pinnacle Retama Partners, LLC (PRP), a wholly-owned subsidiary of Pinnacle, will undergo a divisional merger, creating a second entity, Retama Nominal Holder, LLC to hold the racing license;
  2. Simultaneously with (1), Pinnacle Retama Partners will transfer a majority interest in Nominal Holder to the Retama Development Corporation (RDC); and
  3. Simultaneously with (1) and (2), Penn National will acquire, through its acquisition of Pinnacle and, therefore, Pinnacle subsidiary PNK(SA), LLC (“PNK(SA)”), a 1% interest in the entity holding the Retama Park racing license.

As a result of these transactions, Nominal Holder, which will hold nominal, record title to the Retama Park racing license, will be owned 74.5% by the RDC, 24.5% by RPL Holdings, Ltd., and 1% by PNK(SA) LLC.  Accordingly, Penn National’s interest in the license, held through PNK(SA) LLC, is less than 5%, and therefore Penn National’s acquisition of Pinnacle does not violate the prohibition in Commission Rule 309.9(b)(10) on any person owning more than a five percent interest in more than three Texas racetrack licenses.
